Got some legal research to do, but need a little help. I think i know the answer but ill let someone correct me if im wrong.
This company has two directors. One of them went on holiday (outside the UK), on his return some important company business had been conducted which required the approval of a directors meeting. The company has unamaneded Table A articles.
The other director passed a directors' resolutioon by way of written resolution on the basis that the other director was out of the country and therefore was not entitled to recieve notice of directors business.
Whats the validity of what the director has done?
